Terms and Conditions

1Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Unipack website (the "Site") and the purchase, supply, installation, and use of Unipack machinery, equipment, components, software, and services (collectively, the "Products"). The Site and Products are provided by Unipack (formerly Congzhou Packaging Machinery Manufacturing Company) ("we," "us," or "Unipack").

By accessing or using the Site or purchasing, receiving, or using the Products, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site or purchase or use the Products.

2Website Use

2.1License to Use

Subject to these Terms, Unipack grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes.

2.2Prohibited Conduct

You shall not use the Site in any way that violates applicable laws or regulations, interfere with the proper functioning of the Site, attempt to gain unauthorized access to any portion of the Site, use any robot, spider, scraper, or other automated means to access the Site, reverse engineer any aspect of the Site or do anything that might discover source code, use the Site to collect or harvest any personally identifiable information, or use the Site for any commercial solicitation purposes without our prior written consent.

2.3Account Security

If you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify Unipack immediately of any unauthorized use of your account.

3Product Orders and Sales

3.1Order Process

All orders for Products are subject to acceptance by Unipack. We reserve the right to refuse any order at our sole discretion. After receiving your order, we will provide an order confirmation that constitutes our acceptance of your order.

3.2Price and Payment

Prices for Products are as specified in the applicable quotation or as otherwise agreed in writing. All prices are exclusive of taxes, duties, levies, tariffs, and other governmental charges (collectively, "Taxes"), which shall be the responsibility of the customer. For customers in India, applicable Goods and Services Tax (GST) will be charged as per the prevailing rates. Customers must provide valid GST registration details where applicable.

Unless otherwise agreed in writing, payment shall be made as follows: 30% of the total price as advance payment upon order confirmation, 60% prior to shipment or as per the agreed milestone schedule, and 10% upon successful installation and commissioning or 30 days after delivery, whichever is earlier.

3.3Cancellation

Orders may not be canceled or rescheduled without Unipack's written consent. Any cancellation or rescheduling may be subject to cancellation charges as determined by Unipack, which shall not be less than 30% of the order value to cover administration costs, engineering work performed, and materials procured.

3.4Customization

For customized Products, the customer shall be responsible for ensuring the accuracy of specifications provided to Unipack. Once production has commenced on customized Products, cancellations will not be accepted, and the customer shall be liable for the entire contract price.

4Delivery and Installation

4.1Delivery

Delivery dates provided by Unipack are estimates only. Unipack shall not be liable for any loss or damage resulting from any delay in delivery or failure to deliver which is due to any cause beyond Unipack's reasonable control.

Unless otherwise agreed in writing, delivery shall be made Ex Works (Incoterms 2020) from our manufacturing facilities in Dharwad (India) or Hebei (China). Risk of loss or damage to Products shall pass to the customer upon delivery to the carrier at Unipack's facility.

For Indian customers, delivery shall be considered complete when the Products leave our Dharwad facility or are handed over to the designated carrier, whichever occurs first.

4.2Installation

Where installation services are included, the customer shall ensure that the installation site meets all requirements specified by Unipack, provide Unipack with access to the installation site and all necessary facilities to perform the installation, obtain all necessary permits, licenses, and approvals required for the installation and operation of the Products, and make available qualified personnel to assist with the installation as required by Unipack.

Installation shall be performed according to Unipack's standard procedures and schedule. Additional charges may apply for installation services outside normal business hours or requiring special arrangements.

4.3Acceptance

Products shall be deemed accepted by the customer upon the earlier of completion of Unipack's standard acceptance tests, productive use of the Products, or 30 days after delivery if installation is not included, or 14 days after completion of installation if installation is included, unless the customer has notified Unipack in writing of any substantial non-conformity with the agreed specifications.

5Warranties

5.1Limited Product Warranty

Unipack warrants that the Products will be free from defects in materials and workmanship under normal use for the warranty period specified in the applicable warranty documentation. This warranty does not cover normal wear and tear, issues resulting from improper use, maintenance, or installation not performed by Unipack authorized personnel, modifications or repairs not authorized by Unipack, damage caused by accidents, natural disasters, or power surges, or use of non-approved spare parts or consumables.

The warranty period commences on the date of commissioning or thirty (30) days from the date of delivery, whichever occurs first.

5.3Warranty Claims

To make a warranty claim, the customer must notify Unipack in writing within the warranty period and provide all information reasonably requested by Unipack to evaluate the claim. Unipack's sole obligation under this warranty shall be, at its option, to repair or replace the defective Product or refund the purchase price.

For customers in India, warranty service will be provided through our Goa corporate office or authorized service centers.

5.4Disclaimer

Except for the express warranties set forth in this section, Unipack makes no other warranties, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

6Limitation of Liability

6.1Limitation

In no event shall Unipack be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation damages for lost profits, lost revenue, lost savings, loss of data, or business interruption, arising out of or related to the use or inability to use the Site or Products, even if Unipack has been advised of the possibility of such damages.

6.2Maximum Liability

Unipack's total liability to you for all claims arising out of or related to the Site or Products shall not exceed the amount paid by you for the Products giving rise to the claim.

6.3Essential Purpose

The limitations in this section shall apply even if any limited remedy fails of its essential purpose.

6.4Exception

Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from our negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

7Intellectual Property

7.1Ownership

All intellectual property rights in the Site and Products, including without limitation patents, trademarks, trade names, service marks, copyrights, trade secrets, and know-how, are the exclusive property of Unipack or its licensors.

7.2License to Use Products

Upon purchase of Products, Unipack grants to the customer a limited, non-exclusive, non-transferable license to use the Products solely for the customer's internal business purposes.

7.3Restrictions

The customer shall not modify, adapt, alter, translate, or create derivative works from the Products, merge the Products with other equipment or software not provided by Unipack without Unipack's prior written consent, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for any software component of the Products, or remove, alter, or obscure any proprietary notices on the Products.

8Export Compliance

8.1Export Control

The customer shall comply with all applicable export control laws and regulations in its use and distribution of the Products. The customer shall not export or re-export the Products without first obtaining all required licenses and approvals from relevant governmental authorities, including but not limited to the Directorate General of Foreign Trade (DGFT) in India where applicable.

8.2Prohibited End Uses

The customer shall not use or transfer the Products for any prohibited end uses under applicable laws, including without limitation nuclear, missile, chemical or biological weapons, or other weapons of mass destruction.

9Confidentiality

9.1Confidential Information

Each party may receive confidential or proprietary information of the other party in connection with the purchase and use of Products. Each party agrees to maintain the confidentiality of such information and to use it only for purposes of the business relationship between the parties.

9.2Duration

The obligations of confidentiality shall survive termination or expiration of the business relationship between the parties for a period of five (5) years.

10Data Protection

10.1Data Collection and Use

Unipack may collect and process personal data from customers in accordance with its Privacy Policy and applicable data protection laws, including the Information Technology Act, 2000 and its rules, and when in effect, the Digital Personal Data Protection Act.

10.2Business Communications

The customer agrees that Unipack may send business communications regarding the Products, services, and related matters. The customer may opt out of receiving marketing communications at any time by following the instructions in those communications or by contacting Unipack.

11Governing Law and Dispute Resolution

11.1Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to any choice of law or conflict of law provisions.

11.2Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties. The seat of arbitration shall be Goa, India, and the language of arbitration shall be English.

11.3Limitation Period

Any legal claim arising out of or relating to these Terms must be commenced within one (1) year after the claim accrues, otherwise such claim shall be permanently barred, except that for intellectual property claims, the period shall be as prescribed under the applicable law.

12General Provisions

12.1Entire Agreement

These Terms, together with any purchase agreement, quotation, or other written agreement between the parties, constitute the entire agreement between you and Unipack regarding the Site and Products.

12.2Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

12.3Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

12.4Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Unipack's prior written consent. Unipack may freely assign or transfer these Terms without restriction.

12.5Force Majeure

Unipack shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including without limitation acts of God, natural disasters, pandemic, epidemic, terrorism, war, civil unrest, labor disputes, government actions, or supply chain disruptions.

12.6Relationship of Parties

Nothing in these Terms creates any agency, joint venture, partnership, or other form of joint enterprise, employment, or fiduciary relationship between you and Unipack.

12.7Notices

All notices under these Terms shall be in writing and addressed to the parties at their addresses specified in the purchase agreement or order confirmation, or to such other address as either party may specify in writing. Notices shall be deemed given when delivered in person, when sent by courier or other trackable delivery service, or three (3) days after being sent by registered or certified mail.

12.8Compliance with Laws

Each party shall comply with all applicable laws, regulations, and ordinances in connection with its performance under these Terms.

12.9Survival

The provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and governing law and dispute resolution provisions.
